Tim Benoit provides legal services to assist individuals and entities create and maintain successful for-profit and not-for-profit business enterprises. He has been involved in major merger and acquisition transactions as counsel to either the acquiring or the acquired entity. In addition, Mr. Benoit provides estate planning to individuals and integrates his business practice with his estate planning practice to assist clients develop an orderly succession plan for their businesses.

Projects in which Mr. Benoit has been involved include: reverse and forward triangular mergers under Section 368 of the tax code; spin-offs and split-ups under Section 355; venture capital financing and recapitalizations of corporations and limited liability companies; formation of ESOPs; forward and reverse 1031 Like Kind Exchanges; and negotiation of shareholder agreements and LLC operating agreements.

Mr. Benoit has successfully negotiated reductions in tax liability with the Internal Revenue Service and Maine Revenue Services. He has also been involved in tax litigation in the U.S. Tax Court and Maine Superior Court. Mr. Benoit has also represented clients in a number of the IRS’s offshore voluntary disclosure programs.

Mr. Benoit is a shareholder and director of Perkins Thompson. He has been selected by his peers to be included in The Best Lawyers in America© 2016 in the field of Tax Law for Maine. The Taxation Practice Group regularly assists individuals, businesses, and trusts on a broad spectrum of federal and state taxation issues, and prides itself on creating cost-effective and practical solutions to complex tax problems. Offering a full range of tax advice, we advise clients about individual, fiduciary, and corporate income tax, sales and use taxes, local property tax issues, and issues involving specialized Maine state tax programs such as real estate transfer taxes, petroleum and special fuels taxes, and tobacco taxes. To provide our clients with the best possible tax advice, we work with clients’ accountants and other tax professionals to help our clients achieve their individual tax and business planning goals. We also represent clients in a wide-range of disputes before federal, state, and local tax authorities, including income and estate tax audits appeals before the Internal Revenue Service and Maine Revenue Service, state sales, use tax audits, and other specialized state tax issues pending with the Maine Revenue Service, and local property tax abatement appeals.

In addition to our extensive tax knowledge and experience, we offer our clients an interdisciplinary approach, frequently working with other practice groups to collaborate efficiently on challenging tax issues, such as mergers and acquisitions, partnerships, and commercial lending.

Mr. Benoit is a member of The American Bar Association Tax Section, and the ABA Partnership and LLCs subcommittee. Mr. Benoit is a member of the Maine State Bar Association and its Business Law Section. He has been a member of Section Committees working on revision of the Maine General Partnership Act (2004-2005), and the Maine Limited Liability Company Act (2009-2010). He is also a member of MSBA’s Membership Benefit Committee.
